By accessing or using Alpha Pipeline (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately cease using the Platform. These Terms constitute a legally binding agreement between you and Alpha Pipeline. You must be at least 18 years of age to use this Platform. By using the Platform, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into this agreement.

We reserve the right to modify these Terms at any time. Continued use of the Platform after any modification constitutes your acceptance of the updated Terms.

Alpha Pipeline aggregates and analyzes publicly available regulatory filings, government data, and market information using automated algorithms and artificial intelligence. The Platform does not provide personalized investment advice and is not a registered investment advisor, broker-dealer, or financial planner.

• Signal scores, materiality ratings, and sentiment labels are algorithmic outputs — not human financial recommendations.
• Paper trade results are simulated and do not represent actual trading performance. Past simulated performance does not guarantee future results.
• Prediction accuracy percentages reflect historical algorithmic performance under specific market conditions and may not be indicative of future accuracy.
• AI-generated trade setups (entry, stop, target) are educational examples only and should not be executed without independent analysis.

Certain features of the Platform, including but not limited to the AI Analyst, AI Thesis Generator, signal scoring, and sentiment analysis, are powered by large language models and machine learning algorithms. AI-generated content may be inaccurate, incomplete, outdated, or misleading. Alpha Pipeline does not warrant the accuracy, reliability, or fitness for any purpose of any AI-generated output. You acknowledge that AI systems can produce errors, hallucinations, and outputs that do not reflect actual market conditions.

Any statements on the Platform that reference potential price movements, expected outcomes, bullish or bearish directional scores, or target prices constitute forward-looking statements based on algorithmic analysis of historical and current data. These statements are subject to known and unknown risks, uncertainties, and other factors that may cause actual results to differ materially from those expressed or implied. Forward-looking statements are not predictions, guarantees, or investment recommendations. Alpha Pipeline expressly disclaims any obligation to update or revise forward-looking statements.

The information provided by the Platform may be delayed, inaccurate, or incomplete. Market conditions can change rapidly. Alpha Pipeline makes no warranty regarding the accuracy, timeliness, or completeness of any data, signal, or analysis.

The Platform aggregates data from third-party sources including, but not limited to, the U.S. Securities and Exchange Commission (SEC/EDGAR), the U.S. Food and Drug Administration (FDA), the U.S. Patent and Trademark Office (USPTO), the Commodity Futures Trading Commission (CFTC), the Federal Reserve, the U.S. Department of Labor, market data providers, and financial data APIs. Alpha Pipeline does not control, verify, or guarantee the accuracy, completeness, or timeliness of data provided by these third-party sources.

Third-party data providers may change their data formats, APIs, or availability at any time without notice. Alpha Pipeline shall not be liable for any loss, damage, or decision made in reliance on third-party data that is delayed, incorrect, incomplete, or unavailable. Users should independently verify all data before making any financial decision.

Alpha Pipeline does not guarantee continuous, uninterrupted, or error-free access to the Platform. The Platform may be temporarily unavailable due to scheduled maintenance, unscheduled outages, third-party API failures, network disruptions, or other technical issues beyond our control. Alpha Pipeline expressly disclaims any liability for losses, missed signals, missed trades, or any other damages arising from service interruptions, downtime, data feed failures, or delayed data delivery.

Subscription fees are not refunded or prorated for periods of service unavailability unless required by applicable law.

Paid subscriptions are billed on a monthly or annual basis as selected at checkout. All payments are processed securely through Stripe. Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your Account settings.

• Refunds are not provided for partial subscription periods.
• Prices are subject to change with 30 days' notice.
• Subscription features are subject to change without notice.
• "God Mode" is an internal administrative access tier reserved exclusively for the platform owner and designated staff. It is not a purchasable subscription tier and is not available to general users. Any reference to God Mode in these Terms applies solely to internal operational access and does not create any rights or entitlements for subscribers.

"Lifetime access" plans, including those purchased through third-party marketplaces such as AppSumo, grant access to the Platform for as long as the Platform remains commercially operational. "Lifetime" refers to the operational lifetime of the Platform, not the lifetime of the purchaser. Lifetime access does not constitute a perpetual, irrevocable, or unconditional right to access the Platform.

Alpha Pipeline reserves the right, in its sole and absolute discretion, to:

• Modify, reduce, or discontinue any feature included in a lifetime plan at any time with 30 days' written notice to registered users.
• Sunset or permanently discontinue the Platform upon 90 days' written notice to registered users at their registered email address.
• Migrate lifetime plan holders to a comparable replacement service if the Platform is restructured, acquired, or sold, without any obligation to provide refunds.
• Suspend or terminate access for any lifetime plan holder who violates these Terms, without refund.

In the event of Platform discontinuation, Alpha Pipeline's sole and complete obligation to lifetime plan holders is to provide 90 days of continued access from the date of written notice. No refunds, credits, cash compensation, or other remedies shall be owed beyond this access period. By purchasing a lifetime access plan, you expressly and irrevocably waive any right to seek damages, refunds, injunctive relief, or any other legal remedy beyond the 90-day access period described in this section.

Lifetime plan features are defined at the time of purchase and are subject to change. Alpha Pipeline does not guarantee that any specific feature, data source, signal type, or third-party integration will remain available indefinitely. Feature changes that materially reduce the core value of a lifetime plan will be communicated with 30 days' notice where practicable. Continued use of the Platform after notice of feature changes constitutes acceptance of those changes.

Lifetime access plans are non-transferable, non-refundable after the applicable marketplace refund window, and may not be resold, gifted, or shared. Each lifetime access code may only be redeemed once by a single registered user account.

To the maximum extent permitted by applicable law, Alpha Pipeline and its owners, operators, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from:

• Your use of or reliance on any information, signal, alert, AI-generated content, or analysis provided by the Platform.
• Any investment or trading decision made based on Platform content.
• Errors, omissions, interruptions, delays, or inaccuracies in Platform data or services.
• Third-party data source failures, API outages, or data inaccuracies.
• Unauthorized access to or alteration of your data.
• Any loss of profits, revenue, or data arising from use of or inability to use the Platform.

In no event shall Alpha Pipeline's total liability to you exceed the amount you paid for the Platform in the 12 months preceding the claim. For lifetime access plan holders, Alpha Pipeline's total liability shall not exceed the one-time purchase price paid, regardless of the time elapsed since purchase. This cap applies to all claims of any kind, including but not limited to breach of contract, negligence, or statutory claims.

You agree to indemnify, defend, and hold harmless Alpha Pipeline and its owners, operators, employees, contractors, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any investment or trading decision you make based on Platform content; or (e) any claim by a third party arising from your use of the Platform. This indemnification obligation will survive the termination of these Terms and your use of the Platform.

You agree not to:

• Redistribute, resell, or sublicense Platform content or signals to third parties.
• Use the Platform for any unlawful purpose or in violation of any regulations.
• Attempt to reverse-engineer, scrape, or extract data from the Platform at scale.
• Share your account credentials with others.
• Use the Platform to engage in market manipulation or any activity that violates securities laws.
• Use the Platform if you are under 18 years of age.

All content, algorithms, designs, and software on the Platform are the exclusive property of Alpha Pipeline. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes only.

We collect and process your data in accordance with our Privacy Policy. By using the Platform, you consent to the collection and use of your information as described therein. We do not sell your personal data to third parties.

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, with the seat of arbitration in Phoenix, Arizona. You and Alpha Pipeline each waive any right to participate in a class action, class arbitration, or representative proceeding. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Nothing in this clause prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

Alpha Pipeline respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe that content available on or through the Platform infringes your copyright, you may submit a written notice to our designated DMCA agent containing all of the following:

• A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.
• Identification of the copyrighted work claimed to have been infringed.
• Identification of the material claimed to be infringing, with sufficient detail for us to locate it on the Platform (e.g., URL or page description).
• Your contact information, including full name, mailing address, telephone number, and email address.
• A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
• A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or are authorized to act on their behalf.

AI-Generated Content Notice. Portions of the analysis, theses, and commentary displayed on the Platform are generated by artificial intelligence models. Such content is produced algorithmically and does not constitute original authorship by a human author. Alpha Pipeline does not assert copyright ownership over purely AI-generated outputs. If you believe AI-generated content on the Platform reproduces your copyrighted material without authorization, please submit a takedown notice using the process above and we will investigate promptly.

Counter-notifications and repeat-infringer policies are handled in accordance with 17 U.S.C. § 512(g) and § 512(i) respectively. Abuse of the takedown process may expose the submitting party to liability under 17 U.S.C. § 512(f).
